Directors’ Duties
Directors - are you up to date with your duties and obligations under the Corporations Act 2001 (Cth)?
As a director you must:
Act with skill, care and diligence (s180)
Act in good faith (s181)
Not improperly use your position (s182)
Not improperly use information (s183)
Disclose transactions with related parties (Chapter 2E) – Public Companies only
Not trade while insolvent (s588G)
If a single director company – ordinarily reside in Australia (s201A)
Some breaches of a director’s responsibility are treated as a criminal offence.
